Terms of Service

1. Agreement to Terms

By accessing or using ClawGate ("Service"), operated by Asteya Tech LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ClawGate provides a secure approval system for AI agents. The Service allows users to authenticate and authorize actions requested by AI agents using passkey-based authentication.

3. User Accounts

Your account is secured by a passkey stored on your device. You are responsible for maintaining the security of your device and passkey. You must not share your API keys with unauthorized parties.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to the Service
• Interfere with or disrupt the Service
• Use the Service to transmit malware or harmful code
• Resell or redistribute the Service without authorization

5. Subscription and Billing

Some features require a paid subscription. Subscriptions are billed in advance on a monthly basis. You may cancel your subscription at any time through the Stripe customer portal. Refunds are provided at our discretion.

6. API Usage Limits

Each subscription tier has usage limits. Exceeding these limits may result in temporary service restrictions. We reserve the right to modify limits with reasonable notice.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Asteya Tech LLC and are protected by international copyright, trademark, and other intellectual property laws.

8. Security Disclaimer

THE SERVICE IS PROVIDED WITHOUT ANY SECURITY GUARANTEES. While we implement industry-standard security measures, we do not warrant that the Service will prevent all unauthorized access, security breaches, or malicious activities. No security system is impenetrable, and we cannot guarantee that the Service will be free from vulnerabilities or that it will successfully prevent all unauthorized actions by AI agents or third parties.

THE SERVICE DOES NOT GUARANTEE PREVENTION OF UNAUTHORIZED ACCESS. You acknowledge that determined attackers may find ways to bypass security measures, and that the Service should be used as one layer of a comprehensive security strategy, not as a sole security solution.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTEYA TECH LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

WITHOUT LIMITING THE FOREGOING, ASTEYA TECH LLC SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR COSTS ARISING FROM: (A) SECURITY BREACHES, BYPASSES, OR FAILURES OF THE SERVICE; (B) UNAUTHORIZED ACCESS TO YOUR ACCOUNTS, DATA, OR SYSTEMS; (C) ACTIONS TAKEN BY AI AGENTS THAT WERE NOT PROPERLY AUTHORIZED OR THAT BYPASSED THE APPROVAL SYSTEM; (D) ANY FAILURE OF THE SERVICE TO PREVENT UNAUTHORIZED ACTIONS; OR (E) ANY RELIANCE ON THE SERVICE AS YOUR SOLE SECURITY MEASURE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Asteya Tech LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) any security incidents affecting your accounts or systems; (e) actions taken by AI agents connected to your account; or (f) your failure to implement adequate security measures beyond the Service.

12. User Responsibility and Assumption of Risk

YOU ARE SOLELY RESPONSIBLE FOR YOUR OWN SECURITY PRACTICES AND AGENT CONFIGURATIONS. This includes, but is not limited to: properly configuring which actions require approval, securing your API keys, maintaining the security of your devices, and implementing additional security measures appropriate for your use case.

BY USING THE SERVICE TO AUTHORIZE AI AGENT ACTIONS, YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH DEPLOYING AUTONOMOUS OR SEMI-AUTONOMOUS AI AGENTS. You acknowledge that AI agents may behave unpredictably, may be manipulated by malicious inputs, and may take actions that cause harm despite approval mechanisms. You agree that Asteya Tech LLC is not responsible for any actions taken by AI agents, whether or not those actions were approved through the Service.

13. Termination

We may terminate or suspend your account at any time for violations of these terms. Upon termination, your right to use the Service will immediately cease.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes. Continued use of the Service after changes constitutes acceptance of the new terms.

15. Governing Law

These terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.
